Terms of Service

These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", or "User") and 1Dataworld Inc., the operator of the iCype platform ("iCype", "we", "us", or "our"). By creating an account, accessing, or otherwise using iCype (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.

1. Definitions

  • Vendor: a brand, business, or advertiser that creates campaigns and engages creators through iCype.
  • Creator: an individual or entity that promotes, produces, or distributes advertising content on behalf of a Vendor.
  • Follower: a user who follows Creators, amplifies content, and may earn rewards under the published rules.
  • Content: any text, image, video, audio, link, metadata, or other material uploaded, posted, transmitted, or otherwise made available through the Service.
  • Payout: any monetary or non-monetary reward distributed through the Service.

2. Eligibility and Account Registration

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is higher), to register an account. By creating an account you represent and warrant that (a) all information you provide is true, current, and complete; (b) you have full legal capacity to enter into these Terms; and (c) you are not barred from using the Service under the laws of your jurisdiction or any sanctions regime applicable to us.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us without undue delay of any unauthorized access or suspected security breach.

3. User Roles and Responsibilities

iCype supports Vendor, Creator, Follower, and Administrator roles. Each role grants different access rights and responsibilities. You agree to use the Service only in accordance with the role you have been assigned and the documentation provided in-app.

Vendors are solely responsible for the lawfulness, accuracy, and intellectual property clearance of the campaigns and assets they publish. Creators and Followers are solely responsible for the content they post and for complying with applicable advertising disclosure rules (including, but not limited to, the FTC Endorsement Guides, ASA CAP Code, EU Unfair Commercial Practices Directive, and equivalent local rules).

4. Campaigns, Payments, Fees, and Payouts

Vendors fund campaigns in advance. Creators and eligible Followers may earn Payouts according to the rules published in the Service at the time the relevant campaign is accepted. Fees, taxes, currency conversion, processing thresholds, and payout schedules are disclosed in-app and may be updated from time to time.

You are solely responsible for the declaration and payment of any taxes, social contributions, or similar charges arising from your use of the Service. iCype may withhold amounts where required by law and may request tax documentation as a condition of disbursing Payouts.

Payouts may be delayed, reduced, suspended, reversed, or cancelled where we reasonably suspect fraud, abuse, chargebacks, breach of these Terms, or violation of applicable law.

5. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • violate any applicable law, regulation, or third-party right;
  • upload Content that is unlawful, defamatory, obscene, hateful, harassing, deceptive, or that infringes intellectual property, privacy, or publicity rights;
  • impersonate any person or entity or misrepresent your affiliation;
  • engage in fraudulent activity, including artificial inflation of metrics, bot traffic, fake engagement, or self-dealing;
  • attempt to probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or interfere with the Service's operation;
  • use automated means (scrapers, crawlers, bots) to access the Service without our prior written consent;
  • use the Service to send unsolicited communications or to target minors with advertising in breach of applicable law.

6. User Content and Licence

You retain all ownership rights in Content you submit. By making Content available through the Service, you grant iCype and its sub-processors a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for technical formatting purposes), display, perform, and distribute that Content solely as necessary to operate, secure, improve, and promote the Service and to fulfil the campaigns you participate in.

You represent and warrant that you have all rights, consents, and licences necessary to grant the above licence and that your Content does not infringe any third-party rights.

7. iCype Intellectual Property

The Service, including its software, design, trademarks, and documentation, is owned by 1Dataworld Inc. and its licensors and is protected by intellectual property laws. Except for the limited licence to use the Service granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

8. Third-Party Services and Links

The Service may integrate with or link to third-party services (for example payment processors, social platforms, or analytics tools). We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms.

9. Suspension and Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe that you have breached these Terms, applicable law, or pose a risk to other users, to iCype, or to a third party. You may close your account at any time from your account settings; certain obligations (such as payment, indemnity, and limitation of liability) survive termination.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be free from errors, viruses, or harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, iCype, its affiliates, officers, employees, and sub-processors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service or these Terms.

Our aggregate liability arising out of or relating to the Service in any twelve-month period shall not exceed the greater of (a) the total amount you paid to iCype in the twelve months preceding the event giving rise to liability, or (b) one hundred US dollars (USD 100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as liability for death or personal injury caused by negligence, fraud, or wilful misconduct).

12. Indemnity

You agree to indemnify, defend, and hold harmless iCype and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your Content; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

13. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be communicated through the Service or by email at least 14 days before they take effect, except where a shorter period is required by law or to address a security or legal risk. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Where you are a consumer resident in the European Union or the United Kingdom, you also benefit from the mandatory protections of the law of your country of residence.

The parties shall attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation. If a dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Delaware, United States, without prejudice to any mandatory consumer rights to bring proceedings in your country of residence.

15. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
